We also assist individuals with moderate to high net worth with their planning needs and can provide experienced guidance with any estate administration or litigation issues.  Our lawyers’ experience ranges from the creation of “simple wills” and living trusts to family-limited partnerships, multi-million dollar estate administrations, and includes substantial litigation of fiduciary duties.

Non-Profit Organizations To succeed with their charitable or community purposes in an era of increased governmental and public scrutiny, nonprofits must be capable of developing and employing effective business strategies in a complex legal environment. Our lawyers have extraordinary experience in helping worthy charities and other tax-exempt entities prosper by tackling their strategic planning, governance, and operational issues.  Our lawyers are highly experienced with the full gamut of organizations from local charities and historical foundations to National 501(c)(3) and 501(c)(4) tax- exempt organizations.

Employment For any employer, effectively managing employee relationships is crucial to the success of his or her business. Our lawyers can help you with any employment issues you may face, from drafting employment contracts, confidentiality agreements, stock option plans, and employee manuals, to defending against suits brought by employees.  Our lawyers' experience ranges from drafting effective non-competition and no-poach agreements to structuring phantom equity arrangements and tax-qualified ISOs.  They also have broad experience litigating employment matters from EEOC claims to tortious interference and breach of fiduciary duty claims.  In addition to our work for employers, the firm also handles cases for high-level employees with employment contracts.

CLIENT TESTIMONIALS FOR Clark & Associates BUSINESS LAW SECTION MODULE

Supremely knowledgeable yet never condescending. It is clear they genuinely care about providing their clients with the sophisticated guidance needed in today's continually evolving and complex business environments. We proudly recommend Clark & Associates.
- Stephen Mackey, Co-Founder and Creative Director, Mesh Multimedia, LLC, and Co-Founder and President, Notaviva Vineyards, LLC.

Rory is easily accessible, always friendly, calm under pressure, and a steady source for sound judgment. He possesses a unique combination of legal skill, ability to communicate, and an understanding of how business operates that make him a valuable asset to any business- seeking counsel.
- B.S., VP & CFO, publicly-traded software company

I have worked closely with Rory Clark and his firm for over a dozen years. During that time, I have been impressed with the high quality of legal representation and personalized service which they provide so consistently. They have the ability to help build consensus around difficult or controversial issues and ultimately strengthen the organizations with which they are involved. The end result is that Clark & Associates enhances and improves the organizations with which they work.
- Jill Gruver, President of the Westmoreland Davis Memorial Foundation, Inc. and Chief Financial Officer of Gruver & Cooley Homes.

Rory Clark served as counsel to ZyLAB International, Inc. skillfully guiding the company through a wide variety of complex situations. During a significant private placement, he and his associates’ persistence and persuasive negotiating skill prevailed in many situations that may have otherwise deteriorated, scuttling a very critical deal. He also guided ZyLAB International, Inc. through litigation involving an intellectual property suit in Federal Court. He provided strategic planning and consistent vigilance on behalf of ZyLAB International, Inc.’s interests that proved decisive. ZyLAB prevailed in the case. While I could continue with many more examples that illustrate our board’s appreciation, I will simply conclude by stating that Rory is one of the hardest-working, brilliantly strategic, articulate, and - most importantly – ethical people I have ever had the pleasure of working with.
- J.K., President and CEO of ZyLAB International, Inc., international imaging and software company.

I don’t consider myself an authority on what makes a good lawyer, but I work alongside attorneys in this area often. In my opinion, you really stand out. I will be happy to recommend you to my clients.
- Ashley Sonneville, Commercial Real Estate Advisor, Sperry Van Ness-Vaaler Real Estate.

The Center gained greatly from the knowledge and experience of Mr. Clark and those in his firm with corporate, human resources, not-for-profit, and tax law. When he learned that we were unaware of the potential benefits that we could obtain from the Virginia Rehabilitation Tax Credit program, he and his firm led the effort that generated almost $250,000 for the Center. The firm also helped us with a range of banking, by-law, and regulatory reporting issues.
- Fred Morefield, President of the George C. Marshall International Center, Inc. (Dodona Manor).

As the leader for a not-for-profit organization, I am always looking for value but cannot sacrifice professional expertise. Clark & Associates offer the same services with qualified staff as you would find in a larger community while extending a personal and warm community approach to their customer care.
- Cheryl Kilday, President & CEO if the Loudoun Convention & Visitors Association.

Practice Areas News
  • May 2012 - Clark & Associates' litigator Jim Magner wins precedent setting appeal before the Virginia Worker's Compensation Commission. Shortly before her injury the firm's client had moved from a part-time to a full-time schedule. Her employer argued that compensation should be based primarily on the injured woman's part-time pay as most of her pay in the previous 52 week period was on part-time basis. Mr. Magner convinced the full Commission panel that the change in schedule really constituted a "promotion" and that only her wages on a full- time basis should be used to calculate her award. The win resulted in an increased award for the client of over 235%.
